Agreement

These Terms of Use (“Terms”) govern access to and use of AI Transform Studio (the “Service”), operated by AI Transform Studio Ltd (registered in England and Wales). By creating an account, starting a trial, or using the Service, you agree to these Terms.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

These Terms are a practical self-serve SaaS agreement. They are not a substitute for legal advice. For material disputes or enterprise negotiations, have a qualified UK solicitor review them.

The Service

AI Transform Studio is an agentic co-creation workspace for enterprise transformation. You may connect your own model providers and external systems, run agent sessions, and work with interactive artifacts on the Stage.

We may improve, change, or discontinue features with reasonable notice where practicable. Beta or early features may be less stable and are provided as-is.

Accounts and organizations

You must provide accurate registration information and keep credentials secure. You are responsible for activity under your account and for organizations you administer.

Organization admins control membership, billing, model providers, and integrations for that organization. You must not share accounts in a way that bypasses seat or organization limits.

Acceptable use

You must not use the Service to:

  • Violate law, or infringe others’ intellectual property or privacy rights
  • Attempt to access another customer’s data or circumvent access controls
  • Probe, scan, or attack the Service except with our prior written consent
  • Upload malware or content that is unlawful, abusive, or harmful
  • Misrepresent the Service’s output as human-verified professional advice without appropriate human review
  • Resell or white-label the Service except under a separate written agreement

Your data and connected systems

You retain ownership of content you submit and of data retrieved from systems you connect (“Customer Data”). You grant us a limited licence to host, process, and display Customer Data solely to provide and improve the Service for you.

You are responsible for having the rights and notices required to connect third-party systems and to process personal data within Customer Data. Model providers and MCP systems you connect are under your configuration and contracts.

Sensitive or destructive actions against connected systems may require human approval in-product. You remain responsible for approvals you grant.

AI outputs

The Service uses large language models and tools you configure. Outputs can be incomplete, incorrect, or non-unique. You must review outputs before relying on them for decisions.

We do not claim ownership of outputs generated from your inputs and Customer Data. Subject to third-party model and tool terms, you may use those outputs for your business. We make no warranty that outputs are unique, non-infringing, or fit for a particular purpose.

We do not use your Customer Data to train foundation models for other customers. Inference runs through the model providers whose keys or endpoints you connect, under those providers’ terms.

Fees, trials, and billing

Early self-serve pricing is described on the site (currently a Practitioner plan at US$20 per month per organization, with a 7-day free trial where offered). Model usage is billed by your own model providers, not by us, unless we expressly say otherwise.

Paid subscriptions renew until cancelled. Taxes may apply. Fees are generally non-refundable except where required by law or where we state otherwise at checkout.

We may suspend or limit access for non-payment, abuse, or risk to the Service or other customers.

Intellectual property

We and our licensors own the Service, including software, branding, and documentation. These Terms do not transfer that ownership.

Feedback you provide may be used to improve the Service without obligation to you.

Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect it and use it only for the relationship under these Terms, except for information that is public, independently developed, or required to be disclosed by law.

Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT AI OUTPUTS WILL MEET YOUR REQUIREMENTS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR, IF YOU ARE ON A FREE TRIAL WITH NO FEES PAID, ONE HUNDRED US DOLLARS).

WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.

Nothing in these Terms excludes liability that cannot be excluded under England and Wales law (including for death or personal injury caused by negligence, or fraud).

Indemnity

You will defend and indemnify us against third-party claims arising from your Customer Data, your use of connected systems, your breach of these Terms, or your violation of law, except to the extent caused by our willful misconduct.

Term and termination

You may stop using the Service and cancel a paid subscription through the billing portal or by contacting support@aitransformstudio.com. We may terminate or suspend access for material breach, unlawful use, or risk to the platform.

Upon termination we will cease providing the Service for that account. You may request deletion of Customer Data by emailing support@aitransformstudio.com; we will delete or anonymize it within a reasonable period, subject to legal retention needs and backup cycles.

Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. Courts of England and Wales have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.

Changes

We may update these Terms by posting a revised version and updating the “Last updated” date. Material changes will be highlighted where practicable. Continued use after the effective date constitutes acceptance, except where applicable law requires a different process.
